Months 12–9: Clean the numbers

Separate personal expenses from the business — every blended cost you leave in the books becomes an argument later. Move to clean monthly financials, reconcile inventory, chase stale receivables, and gather three years of tax returns. If your records are informal, this is the moment to pay a bookkeeper; the cost returns many times over in price and speed.

Months 9–6: Reduce owner dependence

Ask yourself who does what only you can do — then delegate it, document it or automate it. Write the operating procedures, cross-train a second-in-command, and introduce key customers and suppliers to other team members. A business that runs through a two-week owner vacation is worth visibly more than one that cannot.

Months 6–3: Fix what diligence will find

  • Renew or extend the lease — buyers and their lenders want term at least as long as their loan.
  • Resolve licensing gaps, expired permits and any quiet legal loose ends.
  • Service the equipment and keep the records; deferred maintenance reads as deferred honesty.
  • Address customer concentration where you can, even modestly — a new account or two changes the narrative.

Months 3–0: Package and position

Get a realistic valuation from category data, not folklore. Decide what confidentiality you need — public listing, blind profile, or a fully NDA-gated process — and prepare the information package a serious buyer will request on day one: financial summary, staff overview, lease abstract, equipment list, growth story. Then keep running the business hard; nothing kills a deal like revenue sagging during escrow, and nothing strengthens your negotiating position like numbers that keep improving while buyers deliberate.
